In these Terms, unless the context indicates otherwise:

| "Statement of Work" / "SoW" | A separate written document setting out the scope, deliverables and timelines for onboarding or consulting services. |

Headings are for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa. References to legislation include any amendment or re-enactment of it.
ShieldIQ is a business in the governance, risk and compliance (GRC) software industry that offers an AI-assisted compliance, risk and integrated management system (IMS) platform delivered as a subscription Software-as-a-Service. The Services include:
The platform is intended for use by businesses and their authorised personnel. You must be at least 18 years old and have the legal capacity to contract. You agree to provide accurate registration information, to keep your login credentials confidential, and to be responsible for all activity under your account. You must notify ShieldIQ promptly at support@myshieldiq.com of any unauthorised access or suspected compromise of your account.
Subscriptions run for the elected billing period (monthly or annual) and, unless cancelled, automatically renew for successive periods of the same length at the then-current price. Renewal is processed in advance on the renewal date using your selected payment method.
You may cancel auto-renewal at any time before the next renewal date through your account settings or by emailing support@myshieldiq.com. Cancellation takes effect at the end of the current paid period; refunds (if any) are governed by clause 7. On expiry or termination, your right to access the platform ends, subject to the data-export and deletion provisions in clause 19.
Subject to availability and receipt of payment, subscription access is provisioned within 1 (one) business day, and delivery is confirmed by way of email notification containing login instructions. Any consulting or onboarding services contracted alongside the subscription are scheduled separately, and the applicable timelines are set out in the relevant Statement of Work.
Recurring subscription billing is processed in advance for the elected billing period (monthly or annual). Fees are stated exclusive of any value-added tax (VAT) or other applicable taxes or duties, which will be added where required by law. You authorise ShieldIQ (and its payment processor) to charge your selected payment method for all fees due.
ShieldIQ may change subscription prices with effect from your next renewal by giving notice before the renewal date; continued use after the change takes effect constitutes acceptance of the revised price. Where payment is not received when due, ShieldIQ may suspend access until payment is made.
The provision of goods and services by ShieldIQ is subject to availability. In cases of unavailability, ShieldIQ will refund the client in full within 30 (thirty) days. Subscription cancellations submitted within 14 (fourteen) calendar days of the initial purchase are eligible for a full refund. Cancellations submitted after this 14-day window will be subject to a 10% administration fee against the remaining unused portion of the prepaid term. Services already rendered (including onboarding and consulting hours already performed) are non-refundable.

ShieldIQ shall take all reasonable steps to protect the personal information of users. For the purpose of these Terms, "personal information" has the meaning given in the Protection of Personal Information Act 4 of 2013 (POPIA) and any other data-protection legislation applicable to the client's data subjects. Namibia does not yet have comprehensive data-protection legislation in force; ShieldIQ nonetheless applies POPIA-equivalent standards to all client content.
Where the client's data subjects reside in Namibia, South Africa or another jurisdiction with applicable data-protection legislation, ShieldIQ acts as an operator/processor of personal information on behalf of the client (who is the responsible party) and processes such information only in accordance with the client's lawful instructions and the platform's documented data-handling controls. Client content is stored encrypted at rest in Amazon S3, transmitted over TLS, and access is restricted to the relevant tenant. ShieldIQ will notify the client without undue delay on becoming aware of a security compromise affecting the client's personal information. Full details are set out in the ShieldIQ Privacy Policy.
Payment may be made via Visa and MasterCard, or by bank transfer into the ShieldIQ bank account, the details of which will be provided on request.
Card transactions will be acquired for ShieldIQ via DPO Pay, who are the approved payment gateway for Namibian acquiring banks. DPO Pay uses the strictest form of encryption, namely Transport Layer Security (TLS), and no card details are stored on the website.
Customer details will be stored by ShieldIQ separately from card details, which are entered by the client on DPO Pay's secure site. ShieldIQ never receives, stores or has access to full card numbers or CVV codes.
The merchant outlet country at the time of presenting payment options to the cardholder is Namibia. The transaction currency is the Namibian Dollar (NAD). Cross-border cardholders may be billed the equivalent in their home currency by their card issuer at the prevailing exchange rate.

Responsible disclosure. If you discover a security vulnerability, please report it to security@myshieldiq.com rather than exploiting or publicly disclosing it. ShieldIQ will not pursue good-faith security research conducted in accordance with this clause. ShieldIQ may suspend accounts in material breach of this clause pending investigation.
ShieldIQ targets a 99.5% monthly availability for the production platform, excluding scheduled maintenance windows communicated in advance and events of force majeure. Where availability in a calendar month falls materially below this target due to causes within ShieldIQ's reasonable control, the client's sole and exclusive remedy is a service credit against future fees, calculated pro rata to the affected period and applied on written request to support@myshieldiq.com within 30 days of the relevant month. Service credits do not apply to downtime caused by scheduled maintenance, client misuse, or third-party services outside ShieldIQ's control.
ShieldIQ warrants that it will provide the Services with reasonable skill and care. Except as expressly stated in these Terms, and to the maximum extent permitted by applicable law:
The platform and services are provided "as is" and "as available", and ShieldIQ disclaims all other warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
ShieldIQ does not warrant that the platform will be uninterrupted or error-free, or that AI-generated outputs will be accurate, complete or fit for a particular regulatory purpose. AI features are decision-support tools; the client remains responsible for reviewing outputs and for its own compliance decisions.
To the maximum extent permitted by applicable law, ShieldIQ's aggregate liability under or in connection with these Terms is limited to the fees paid by the client for the three (3) months preceding the event giving rise to the claim. ShieldIQ shall not be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, data, goodwill or anticipated savings. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
The client shall indemnify and hold ShieldIQ harmless against any third-party claims, losses, liabilities and reasonable costs arising from the client's breach of these Terms, the client's unlawful or infringing use of the platform, or the content the client uploads, save to the extent caused by ShieldIQ's own breach, negligence or wilful misconduct.
ShieldIQ and its licensors retain all rights, title and interest in the platform, including all underlying software, templates and AI models. The client retains ownership of all client content; the client grants ShieldIQ a limited, non-exclusive licence to host and process such content solely for the purpose of providing the Services and as instructed by the client. ShieldIQ may use aggregated and de-identified data (which does not identify the client or any individual) to operate, secure and improve the Services. ShieldIQ does not use client content to train shared or third-party foundation AI models.
ShieldIQ may suspend or terminate access for material breach (including non-payment or breach of clause 13) where the breach is not remedied within a reasonable period after notice, or immediately where required to protect the platform, other tenants or to comply with law. Either party may terminate a subscription at the end of the then-current period in accordance with clause 4.
On termination, the client may, within 30 (thirty) days, request an export of its client content in a commonly used format. After this period, ShieldIQ will delete client content in accordance with its retention schedule and the Privacy Policy, except where retention is required by law. A certificate of deletion is available on written request.
ShieldIQ shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, power or internet failures, failures of third-party hosting or payment providers, governmental action, civil unrest, or pandemics. Affected obligations are suspended for the duration of the event.
ShieldIQ takes responsibility for all aspects relating to the transaction, including the sale of goods and services sold on this website, customer service and support, dispute resolution and delivery of goods.
ShieldIQ may, in its sole discretion, change these Terms or any part thereof. The current version is published at https://myshieldiq.com/terms and the "Last updated" date will reflect the most recent revision. Material changes will be notified by email or in-platform notice where reasonably practicable. Your continued use of the platform after a change takes effect constitutes acceptance of the revised Terms.
This website and these Terms are governed by the laws of Namibia, and the parties submit to the jurisdiction of the Namibian courts. ShieldIQ chooses as its domicilium citandi et executandi for all purposes under this agreement its registered office in Namibia, the particulars of which will be furnished on written request to support@myshieldiq.com. The parties will first attempt in good faith to resolve any dispute by negotiation before resorting to litigation.
